The Company’s Quarterly Report on Form 10-QSB for the three months ended April 30, 2005 cannot be filed within the prescribed time period because the Company requires additional time for compilation and review to insure adequate disclosure of certain information required to be included in the Form 10-QSB. The Company’s Quarterly Report on Form 10-QSB will be filed on or before the 5th calendar day following the prescribed due date.

Xenomics, Inc.'s financial statements for the three months ended April 30, 2005 to be included in Xenomics's Form 10-QSB for the three months ended April 30, 2005 will reflect (i) $296,646 of research and development expense and (ii) $628,159 of general and administrative expense.

Xenomics, Inc.'s financial statements for the three months ended April 30, 2005 to be included in Xenomics' Form 10-QSB for the three months ended April 30, 2005 will reflect consolidated loss from operation of $924,804 as compared to a loss of $2,820 for the three months ended April 30, 2004.
