Item 8.01 Other Events.
On December 3, 2021, Cardiff Oncology, Inc. issued a press release announcing that on December 2, 2021, non-qualified stock option awards to purchase an aggregate of 200,112 shares of its common stock were granted to two new employees. The stock options were granted as inducements material to the new employees becoming employees of Cardiff Oncology in accordance with Nasdaq Listing Rule 5635(c)(4). A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

DocumentCardiff Oncology Reports Inducement Grants Under Nasdaq Listing Rule 5635(c)(4)
SAN DIEGO, December 3, 2021 -- Cardiff Oncology, Inc. (Nasdaq: CRDF), a clinical-stage oncology company, developing new precision medicine treatment options for cancer patients in indications with the greatest unmet medical need including KRAS-mutated colorectal cancer, pancreatic cancer, and castrate-resistant prostate cancer, today announced that on December 2, 2021, non-qualified stock option awards to purchase an aggregate of 200,112 shares of its common stock were granted to two new employees. The stock options were granted as inducements material to the new employees becoming employees of Cardiff Oncology in accordance with Nasdaq Listing Rule 5635(c)(4).
The options have an exercise price of $5.46 per share, which is equal to the closing price of Cardiff Oncology’s common stock on December 2, 2021. Each option will vest over a 4-year period, with 25% of the shares vesting upon the 1-year anniversary of the date of grant and the remaining shares vesting monthly over the following 36-months, subject to each employee’s continued employment with Cardiff Oncology on such vesting dates.
